These Terms of Service (“Terms”) are a contract between you and Joshuah Charney, doing business as Signup Risk API (“Signup Risk,” “we,” “us,” or “our”), for your use of https://www.signuprisk.com, https://app.signuprisk.com, https://api.signuprisk.com, https://docs.signuprisk.com, and related services (the “Service”).
Signup Risk API is operated by Joshuah Charney, a sole proprietor. Mailing address for notices: 15201 Mason Rd, Ste 1000 #513, Cypress, TX 77433, USA. Email: privacy@signuprisk.com.
By creating an account, accessing the API, or clicking to accept these Terms, you agree to them. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
Signup Risk provides an API and related tools that analyze signup-related context you submit (such as an email address and optional name, IP, or industry profile) and return a risk score, explanation (when requested), and a recommended action (allow, review, or block). The Service: does not automatically block or allow users in your product — you decide how to enforce recommendations; is not SMTP mailbox verification, KYC/identity verification, device fingerprinting, or payment-transaction fraud scoring; and may change features, plans, and documentation over time. We may modify or discontinue features with reasonable notice when practical. We do not guarantee uninterrupted availability and do not offer a service-level agreement (SLA) unless separately agreed in writing.
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account and API keys. Private API keys must not be embedded in client-side/browser code. We may suspend or terminate access for security risk, nonpayment, quota abuse, or Terms violations.
Plan names, prices, quotas, and feature gates are described on our pricing page and in documentation and may change prospectively. Paid subscriptions are billed in advance via our payment processor. Fees are exclusive of taxes; you are responsible for applicable taxes except taxes based on our net income.
Subscriptions automatically renew for successive periods (monthly or annual, as selected) unless you cancel before the renewal date through your account billing portal or other method we provide. If you cancel, you generally retain access until the end of the then-current paid period. We do not charge an early-termination fee for standard self-serve plans.
Except where required by law or where we determine a billing error or duplicate charge occurred: we do not provide prorated cash refunds after a billing period starts; canceling an annual plan stops future renewals; it does not automatically create a mid-term cash refund. If the API fails internally while processing an analysis, we may restore usage quota units as described in our documentation. That is not a cash refund.
You will not, and will not allow others to: use the Service unlawfully or to violate others’ rights; attempt to bypass quotas, rate limits, authentication, or security controls; reverse engineer the Service except to the extent this restriction is prohibited by law; resell or provide the raw Service as a competing standalone API without our prior written consent; submit unlawful, deceptive, or harmful content; interfere with or disrupt the Service; use the Service to harass, stalk, or unlawfully surveil individuals; or use risk scores or recommendations as the sole or primary basis for decisions about employment, housing, consumer credit, insurance underwriting, or healthcare eligibility, or other similarly high-impact regulated determinations. You may use the Service for legitimate signup-risk, trial-abuse, marketplace seller onboarding, community registration, ecommerce account-abuse, and lead-quality use cases, subject to applicable law and these Terms. You are solely responsible for how you apply recommendations in your product, including fairness, notices, and compliance with laws that apply to your business.
“Customer Data” means data you submit to the Service (including API request content) and account content you provide. You retain ownership of Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and secure the Service, including caching and logging as described in our Privacy Policy. Our Privacy Policy explains how we handle personal information. If there is a conflict about personal-information practices, the Privacy Policy controls for that topic. You represent that you have all rights and permissions needed to submit Customer Data (including personal data about your end users).
Webhooks and other destinations you configure. If you configure webhooks or other integrations, you direct us to send Customer Data, which can include analyzed email addresses and decisions, to the endpoints you specify. You are responsible for securing those endpoints and for the data once it is delivered.
We and our licensors own the Service, documentation, branding, models, datasets (excluding Customer Data), and related IP. These Terms do not transfer ownership to you. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. You may not copy, modify, or create derivative works of the Service except as allowed by documentation for normal integration. Feedback you provide may be used by us without obligation to you.
The Service may interoperate with third-party services (for example authentication or payment providers). Those services are governed by their own terms. We are not responsible for third-party services we do not control.
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only for purposes of these Terms, except for information that is public, independently developed, or required to be disclosed by law.
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Risk scores and recommendations are probabilistic/heuristic assessments based on available evidence. They are not guarantees that a signup is fraudulent or legitimate, and they are not legal, compliance, or credit advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
You will defend and indemnify us against claims, damages, and expenses arising from: (a) Customer Data; (b) your use of the Service (including how you apply recommendations); (c) your violation of these Terms or law; or (d) disputes between you and your end users.
Either party may terminate these Terms by closing the account / canceling the subscription as provided above. We may suspend or terminate immediately for material breach, nonpayment, legal risk, or abuse. On termination, your license ends. Sections that by nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) survive.
We may update these Terms by posting a revised version. Material changes will be effective on the stated effective date. If you continue using the Service after that date, you accept the updated Terms where permitted by law. If you do not agree, stop using the Service and cancel your subscription.
These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. Before filing a claim, the parties will try in good faith to resolve disputes informally for at least 30 days after written notice. Exclusive venue for disputes is the state or federal courts located in Harris County, Texas, and each party consents to personal jurisdiction there. Either party may seek injunctive relief for IP or unauthorized access in any court of competent jurisdiction. These Terms do not include mandatory arbitration in this version.
These Terms are the entire agreement regarding the Service and supersede prior agreements on that subject. If a provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. Failure to enforce a provision is not a waiver. Notices to us must be sent by email to privacy@signuprisk.com, with a copy to our mailing address for notices above (or another address we designate). Notices to you will be sent to the email address associated with your account.
